MJ Hydrostatics, Inc. TERMS & CONDITIONS OF SALE AGREEMENT

BINDING TERMS- 

The terms of this sale are expressly limited to the terms and conditions set forth unless modified by the sellers quotation or sales acknowledgment. Any and all buyers purchase order terms and conditions are subject to agreement between the seller and the buyer. 

DELIVERY & RISK OF LOSS-

Delivery dates are approximate and are based upon the prompt receipt of all necessary information from the buyer. Delivery shall be made and risk of loss shall pass to the buyer upon seller placing the goods with a carrier FOB point of shipment or buyers designated consignee. Acceptance of delivery by buyer waives any any all claims against the seller for loss or damage incurred due to delay. No claims for error in shipment will be considered unless received within 10 days of receipt of the shipment. 

INSTALLATION-

The seller shall not be liable for any damage incurred when the purchaser or the purchaser’s employees complete the installation, unless all start up procedures have been followed per the manual provided by the seller. The seller assumes no responsibility for damages due to the deterioration during periods of storage by the buyer prior to the installation and operation.

WARRANTY-

MJ Hydrostatics, Inc. warrants all products manufactured, re-manufactured, and or serviced by to be free from defects in material or workmanship under normal operating conditions and proper application. In effect for 12 months after delivery.

LIMITATIONS ON WARRANTY- THE FOREGOING WARRANTY IS EXPRESSLY IN LIEU OF ANY OTHER WARRANTIES EXPRESSED OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 

Buyers’ responsibility shall be limited to the repair or exchange of warranted products at MJ Hydrostatics, Inc.’s discretion.

LIMITATIONS OF LIABILITIES-

In no event shall MJ Hydrostatics be responsible for consequential damages or contingent liabilities included but not limited to, loss of life, personal injury, loss of crops, loss of business income, downtime costs and trade or other loss arising out of the failure of the product. No attempt to repair or improve the product shall change or extend this warranty. 

FORCE MAJEURE-

Seller shall not be liable for delays or failures in delivery, damage to goods or performance due to act of God, governmental authority or public enemy, fire, flood, strike, labor disturbance, epidemic, war, riot, civil disturbance, power failure, embargoes, shortages of materials, components or service, boycotts, transportation delays or any other cause beyond sellers control.

RETURN POLICY

No returns will be accepted without an RGA (Return Goods Authorization). RGA document must be included in the return box. MJ Hydrostatics, Inc. needs to be notified in writing of any order discrepancies within 7-10 days. Return of product must be done within 30 days of receipt to receive credit. All returns must be in new and unused condition and sent back in original packaging. Customer will pay freight on all returns. 

RESTOCKING FEE

MJ Hydrostatics, Inc. restocking fee is 20% outside of Linde Hydraulics and unless another vendor imposes a higher fee. 

MJ Hydrostatics policy on Linde product returns is 20% restock fee twice a year only, January and July. Outside of this time frame is a 30% restock fee. There will be no returns on Linde products under $150.00.

There are no returns on seal kits.

There are no returns on electronics.

CANCELLATION BY BUYER-

This agreement may NOT be canceled by the buyer without the prior written consent of the seller, which consent may be granted or withheld in the seller’s sole discretion. In the event of such cancellation, the buyer shall be liable for the seller’s anticipated profit and for all the costs incurred prior to cancellation. 

CORE POLICY

Cores will be charged for and then a credit memo given back when they are returned fully assembled. Freight for cores coming back will be paid for by the customer. We can also do a core bank here for you. Please return cores within 21 days to receive full core credit.



PAYMENTS-

Our terms of sales are Net 30 days from the date of the invoice. Any account that exceeds a 60-day balance is subject to credit hold and a finance charge of 1.5% per month will apply. The continuance of your balance being beyond 60 days will result in your account being placed on C.O.D. An outside collection agency may be used for any invoices over 90 days old and will charge the customer for any collection and or attorney fees.

Statements on open invoices will be emailed on a monthly basis. If you have any questions regarding our invoicing or would like to receive them in a certain fashion, terms of sale or our credit policy, please feel free to contact our accounting department.
